Paracall is VoIP Telecommunication Service provider to the Individual and Business globally. Paracall owned by the company Paragon Call Ltd and Providing Online Services in the name of www.paragoncall.com , www.paragoncall.co.uk and www.paracll.co. uk (paracall).
By accessing the "Paragoncall.com, paragoncall.co.uk and Paracall.co.uk web sites, you are agreed to abide by the following terms & conditions, to purchase/use its products and services.
1) Definition and Application:
1.1) In this Contract:
i) Paracall: - refers to Paragon Call Limited, paragoncall.com, paragoncall.co.uk and Paracall.co.uk.
ii) 'We', 'our' and 'us':- refers to 'Paracall' and any media form owned by the partners of 'Paracall'.
iii) 'Users', 'you', 'your' "they" and "their":- refers to the, who is viewing (any media form) and using this web site and its services provided on this site whether free or paid for.
iv) Partner(s):- refers to the third party who is providing any information or services on this web site whether free or paid for.
v) Re-seller(s):- refers to the business or other parties providing any of our services on this site(s) or any other media form, whether free or paid for.
vi) Information: - refers to the textual or visual descriptions of products or services or any other content on this web site.
1.2) "The customer(s) or Client(s)": - means the customer(s) with whom Paracall makes this contract, including a person reasonably appearing to Paracall to act with that customer's authority.
1.3) Re-seller(s):- means the company or individual that purchases our products or services with the intention of re-selling them to their customer(s).
1.4) "WWW" means World Wide Web services available on the Internet.
1.5) "Domain names":- means Internet addresses, which have been registered with the central registration authorities on the Internet on behalf of the re-seller.
1.6) "Upload":- means transfer of computer files to the Server computer system for publication on the Internet, WWW.
1.7) "Download":- means to transfer content - such as software, broachers etc. from the
web server to your computer.
1.8) "Commencement date":- means the date of Paracall acceptance of the client's order.
1.9) "This contract": - means the contract between the customer and Paracall incorporating these terms and conditions.
1.10) "Hosting": - means making available the re-seller's domain name to the Internet community.
1.11) "Renewal Date":- means the date of renewal of this contract between the customer and Paracall.
1.12) "Illegal":- means any act or acts, which are capable of breaching the criminal law of respective country.
1.13) Any word in the singular, includes the plural and vice versa. All definitions, notes, terms and conditions referred to in this contract form part of the contract as if they were expressly set out in it.
2) Provision of Services:
2.1) This contract covers the provision of service by Paragon Call Limited, to the customer. It supersedes and takes precedence over any previous written or oral representations given or made by the company or any representatives of the company. In agreeing to the provision of the services, the customer is deemed to have read and understood these terms and conditions.
2.2) Using of our product(s) or Service(s), mean that the customer(s) are comply with our terms and conditions.
2.3) Any date proposed either by the customer or Paragon Call Ltd ( paragoncall.com / paragoncall.co.uk / Paracall.co.uk ) for the provision of services is to be treated as an estimate only and Paragon Call Ltd accepts no liability for any failure to meet it.
2.4) Unless Paragon Call Ltd receives a notice in writing from the customer terminating this contract at any time prior to the renewal date, the customer will be deemed to renew the contract at the end of the contract period and be subject to the terms and conditions referred to herein.
2.5) Paragon Call Ltd reserves the right to alter or amend its terms and conditions without any prior notice to the customers.
2.7) If you are residing in the jurisdiction where, it is prohibited by law to offer or use Internet telephony (VoIP) or the Paracall Services, you may not enter into this Agreement.
3) Use of third party:
3.1) Your accessing to or/and using of a service, that provided by a third party, including but not limited to your local telephone operator ("Provider"), may be subject to their terms and conditions. And for the avoidance of doubt in using of any such Provider's service(s), you will still be bound by these Terms of Service to the extent they are applicable. As soon as your call is connected to a phone number provided by Paracall, the call may be charged by your Service Provider (if your service package does not include free calls to the local number(s) or free internet access), regardless of whether you are connected to the receiver of the call (e.g. even if the line is busy).
3.2) It is a clear scenario between VoIP systems and GSM systems (mobile operator) that when you make a call via VoIP system and you find the line is busy or delay to connect your call and if you press the green/call button of you phone keypad 2 nd time again, you are not calling through Paracall systems; you are calling directly through your phone operator and you will be charged @ their rates for that call by your phone operator. Be careful when you make a call and to avoid these circumstances, whenever you find the line is busy just press the hush key (##) twice to terminate this call and dial the destination number again after the prompt without hang up.
4) Agreements:
A contact which, is agreed upon and accepted in full without exception between registered or non-registered users of Paracall and its services.
5) Our Services:
Paracall is a VoIP Telephone Service Provider and allow our customers to make calls worldwide that can be accessed globally. There are 2 ways to register.
i) Online registration via www.paragoncall.com or www.paragoncall.co.uk or www.paracall.co.uk.
ii) Call customer services on (44) 020 7375 0222 / 0207 247 2222 .
iii)On completion of on line registration, the customer will receive an instant e-mail containing a link to activate the account along with their login details. Customer needs to activate his/her account by clicking the LINK.
5.2) PIN less Direct call services: You can have either pinless access or with pin access making calls. On registration, our system gives you pinless access making calls while you have got top up balance in your account. Your registered numbers will allow you to make calls directly to any destination without the need for pins. You just dial the access number, wait for the prompt, dial the country code and the destination number and you are connected. You can register as many numbers as you like online or through our customer service. Please do not register numbers which are used by other people as well as yourself -e.g. your work place office number.
If do not want to have pinless access making calls from your registered phone number, just log into your account - Go to "Add Number" and select the number and delete it from there. Hence for every call you need to enter pin number macking call.
5.3) One2One Services: Is our broadband internet based calling services allow you make unlimited call worldwide. Once you are registered for this service online or via our customer services, we will set it up for you after completing contact papers. Our One2One service will allow you to make unlimited calls from UK to Bangladesh at this moment. These services required to have broadband internet connection, phone adapter and credit/debit card. It will also require a minimum contract period with a subscription fees and setup a direct debit.
5.4) PC Dialer: A free downloadable Dialer allowing you to make calls from your PC. Just download the Dialer application and follow the simple instructions on our website to install and how to make a call. The amount for calls you make will be debited from your Paracall account. You will need to use a microphone or headset using the PC Dialer.
5.5) Mobile Dialer: Symbian based phones dialer- e.g. Nokia e61, e71, etc. and Nokia compatible mobile phone of other brands like Samsung, Motorola, Sony Ericson, LG etc. can be used for this dialer to make your calls, which is free downloadable from the Paracall website.
5.6) Roaming service: Paracall provides you roaming services worldwide. The list of numbers and countries are available on our website . Please check with your mobile phone operator whether your mobile is eligible for international roaming and if there are any surcharges for calls made abroad. We are not responsible and will not refund roaming charges that are imposed on your phone tariff by your mobile operator.
5.7) Customer Service: Our customer services are accessible 7 days week UK GMT time 10:00 to 18:00 via phone, 7/24 via email. Please check our website for updated phone numbers and other contact details.
5.8) Providing Personal details: You agree to provide true, accurate, current and complete information in all fields indicated as mandatory when registering for the Paracall Services, as well as any additional information provided or any amendments or update made by you. As part of signing up on the Site you need to choose a user ID and a password ("PIN") that required for accessing to and use of the Paracall Services. You are responsible for all actions that take place as a result of accessing to or using of the Paracall Services via your PIN and/or via your mobile phone (Device) independently of whether the access was made by yourself or by a third party using your PIN and/or Device.
5.9) Unauthorized Use/Stolen Device: If your Device is stolen or if you become aware of unauthorized use of your Paracall account, you must notify us immediately to suspend the Paracall Services. You are responsible for all charges to your account with Paracall account until the Paracall Services are suspended. We have the right to change/suspend your PIN and account ID at any time in our sole discretion and without notice.
5.10) Warranties: Paracall does not make any express warranty regarding the paragoncall Services and disclaim any implied warranty, including any warranty of merchantability, satisfactory quality, or fitness for a particular purpose; however paragoncall shall endeavour to provide the paragoncall Services with minimum disruptions. paragoncall cannot guarantee that the paragoncall Services will always function without disruptions, delay or other imperfections and paragoncall may choose not to provide service to countries or calling areas at its sole discretion. Since the paragoncall Services will be transmitted through public Internet lines and the public switched telephone network, you acknowledge that there may be power outages or Internet service disruption and you may experience some disruptions in the paragoncall Services, e.g. packet loss and delay. Additionally, you also understand that calls, SMS, etc. to or from the public switched telephone network are not encrypted and as such, could be potentially subject to eavesdropping by law enforcement officials or other third parties over the public Internet. paragoncall will not be liable for any disruption, delays, eavesdropping or other omissions in the paragoncall Services.
5.11) Contract Period: Normally there is no contract period to use our service like - Direct PIN less calling services. But some services/use of products may need to have a contract for a certain period. You must check it with our product/service information package. The Contract shall continue from the commencement date for a period of twelve, eighteen or twenty four calendar months whichever applicable for the service and subject to termination under conditions 13 and 14.
6) Changes in terms & conditions:
Paragon Call Ltd reserves all the right to change, update or amend the terms of condition time to time without prior notice to you. It is user's responsibility to check the terms & conditions each time when they access this site or before using of services to check for change or update or amendments. The changes to the terms and conditions take effect immediately once they are uploaded onto the web site and thereafter all the older versions of this terms and conditions are nullified.
7) Uses:
Unless otherwise specified, this web site and any of its facilities and/or services are for your personal and non-commercial use only. You may download, display or print part of this web site for your own personal and non-commercial use. You may save a copy of this page to your local hard drive for the purpose of creating one personal back-up copy. You agree not to copy, modify, transmit, display, distribute, perform, reproduce, licence, publish, create derivative work form, transfer or sell any information, software, products and services contained on or forming part of this web site for resale, re-distribution or for any other commercial use for including any surveys, contest or pyramid schemes, nor use the service to participate in or cause others to participate in sending chain letters, junk mail, spam, duplicate or unsolicited communications.
You must not: -
a) Post to or send via our services / this web site any materials that are or could reasonably be construed as:
i) Defamatory, libious, obscene, offensive, abusive, liable to incite racial hatred, discriminatory or blasphemous; ii) in breach of any obligation of confidence or privacy or any trade secret; iii) infringing the proprietary right of any third party or for which you have not obtained all necessary licences and/or approvals; or iv) violating any other law.
b) Harvest or otherwise collect information about other users, including email address, without their consent and you will not pass or transfer your Paracall accounts and User ID to another party without our consent.
c) Provide any false and inaccurate information during registration.
d) The customer agrees not to upload any of the following material to the web space provided by Paragon Call Ltd:
1. Illegal material - This includes copyrighted works, commercial audio, video, or music files, and any material in violation of any Country, Federal, State or Local regulation.
2. Adult material - this includes all pornography, erotic images, or otherwise lewd or obscene content. The designation of 'adult material' is left entirely to the discretion of
Paragoncall.com.
3. Warez - Includes pirated software, ROMS, emulators, phreaking, hacking, password cracking, IP spoofing, etc., and encrypting of any of the above. Also includes any sites which provide 'links to' or 'how to' information about such material.
e) If the contract is terminated for whatever reason, the customer will be entitled to a pro-rata refund of the contract price minus any set-up fees.
f) The customer agrees not to perform any action that will result in the reduced performance of the 'paragoncall.co.uk' server to the detriment of other users.
g) Not to commit any act whereby access is gained by the customer to any information or resources of anybody corporate or person, individual, partnership, government agency, national institution, charity or recognised organisation without first having obtained authority from those persons or institutions.
7.2) The customer agrees not to use unsolicited or spam e-mail in any way that would result in any part of the paragoncall.com, paracaoncall.co.uk or Paracall.co.uk network being mentioned either directly or indirectly in such postings. Failure to meet this obligation would result in the termination of this contract without refund.
7.3) Not to do any act or omission, the result of which would have the effect of bringing Paracall into disrepute.
8) Limitation of Liability:
8.1) For the avoidance of doubt Paracall has no obligation duty or liability in contract and/or tort for breach of statutory duty or otherwise beyond that of a duty to exercise reasonable skill and care.
8.2) In any event and in no circumstance shall Paracall be liable for any loss either direct or indirect of profits, business or anticipated savings or any other direct or indirect consequential loss arising out of the provision of the service to the customer.
8.3) In no circumstance shall Paracall be liable for any loss whether direct or indirect arising from the content of any information placed by the customer onto the service provider of Paragon Call Ltd.
8.4) Under no circumstances shall Paracall be liable for loss whether direct or indirect of profits, business or anticipated savings or for any direct or indirect consequential loss whatsoever by the failure of, or any problem experienced by the customer in its operation of Paracall system or its web site.
8.5) Each provision of this condition is to be construed as a separate limitation applying and surviving even if for any reason one or other of the said provisions is held inapplicable or unreasonable.
8.6) Paracall shall not be liable for acts or omissions of another Provider, for information provided through your Device, equipment failure or modification, or causes beyond our reasonable control. We shall not be liable for service outages or for service limitations or interruptions. We shall not be liable for any accidents or incidents which result from the use of our services by you or any other person. Our liability and the liability of any underlying Provider for any failure or mistake shall in no event exceed the Paracall Services charges during the affected period. We and any underlying Provider must not be liable for any incidental, punitive or consequential damages such as lost profits. We, and any underlying Provider, shall not be liable for economic loss or injuries to persons or property arising from the use of the Paracall Services.
8.7) The above sub-closes shall survive termination of the Terms of Services.
9) Indemnity:
9.1) Without prejudice to any other rights or remedies which Paracall may have against the customer, the customer shall indemnify Paracall against any loss or expenses sustained by reason of any breach of this contract and any actions, proceedings, claims or demands in any way connected with this contract brought on by or threatened against Paracall by a third party which are caused by or arise from any action of Paracall carried out pursuant to the instructions of the customer.
9.2) The customer shall indemnify Paracall against any actions, proceedings, claims or demands in any way connected with this contract brought or threatened against Paracall by a third party which are caused by or arise from any act or default of Paracall carried out pursuant to the instructions of the customer.
10) Charges:
10.1) All charges of whatever nature in respect of service shall as such be as Paracall shall determine from time to time. On each occasion when service is provided to the customer, the customer shall pay the charges in force at that time, full details of which will be available from the address specified in condition 14.
10.2) Value added Tax where applicable will be added at the appropriate rate to the total of all charges shown on the customer's bill.
10.3) Subject to paragraph 14 below, the administration charge referred to therein is payable in full within seven days.
10.4) Should Paracall have to issue Court proceedings pursuant to this contract the customer accepts responsibility for all Paracall legal fees and disbursements notwithstanding the value of the claim, on an indemnity basis.
10.5) Any third party costs Paracall may incur due to processing the payment for the services will be payable by the customer within seven days.
11) Payments, Rates and Accounts:
11.1) You will pay whatever services you used for. Paracall Services are available either pre-paid or Post-paid. For the post-paid services are need to setup a direct debit payment and will be debited the amount from the bank account on the stipulated date which is setup during the setup of direct debit. No credit is applicable, unless written arrangements have been made.
11.2) In order to purchase credits for the Paracall Services and to charge/recharge your Account you shall pay Paracall the rates as stated on its Site. Payments are either made manually by you or through the automatic recharge function activated by you. The automatic recharge function means that when your Account balance is below a certain level, your Account will be automatically recharged with a certain pre-selected amount.
12) Methods of payments:
12.1) You can make payments for your top up for direct A-Z calls via PayPal by your debit or credit cards or direct debit which is secured, safe and easy.
12.2) For One2One service, you need to set up a montly basis from bank account bank direct debit or online direct debit.
13) Termination of this contract by Paracall:
13.1) If the customer does not pay any charge when due or breaks this contract in any other way Paracall can terminate this contract immediately without the requirement of prior notification.
13.2) Termination of this contract by Paracall will result in the retaining by Paracall of all monies received from the customer who will not be entitled to a refund of monies paid.
13.3) Upon termination of this contract the customer shall nevertheless remain liable for all charges due or which would have been payable under this contract.
13.4) On termination Paracall will remove all materials held on Paracall system and remove all privileges entitled to the customer.
14) Termination of the contract by the customer:
14.1) The customer can terminate this contract at any time in writing to the following address: Paragon Call Limited, 23 Heanage Street, London E1 5LJ, United Kingdom. In an event of the customer so terminating this contract, the customer will be entitled if they so wish to continue with the contract until the expiration of the contract period or alternatively the customer may request the immediate termination of the contract.
15) Return/Refund Policy:
15.1) You may request for a refund by submitting a written request in English to Paracall's customer services via support@paracall.co.uk . Refund requests carried out through other means shall not be eligible for the refund. For the avoidance of doubt, no refunds shall be given for services paid or credit acquired through vouchers, gift tokens or similar. Paracall reserves the right to deny repetitive refund requests. Any abuse by you of the terms relating to refunds hereunder shall lead to the termination of this Agreement.
15.2) We will not take return any card if it is scratched and PIN is reviled or the card is used to make a call.
16) Privacy:
Paragon Call Ltd respects and protects the privacy of the individuals who access this web site and use the facilities and/or services. So we do not sell or rent your information to the third party without your consent. We use your information only as described in the Privacy Statements . You can access and modify the information you provide us and choose not to receive certain communications by signing-in to your account or you can decide not to remain a member of Paracall anymore and either delete your data from our computer your own by Signing-Out or send us a request to delete all the information you provided us and we will do it promptly as request.
17) Force Majeure:
17.1) Paracall is not liable for any breach of this contract if the breach was caused by an act of God, insurrection or civil disorder, war or military operations, national or local emergency, acts of omissions of government, highway authority or other competent authority, Paracall 's compliance with any statutory obligation, industrial disputes of any kind (whether or not involving Paracall employees), fire, lightening, explosion, flood, subsidence, weather of exceptional severity, acts of omission of persons whom Paracall is not responsible (including in particular other telecommunication service providers), or any other cause whether similar or dissimilar outside The Paracall 's reasonable control.
18) Applicable Laws:
These terms and conditions and all other express terms of the contract with customers shall be governed and construed in accordance with English law. English Courts shall have jurisdiction in relation to any matters arising in connection with any contract between the Paragon Call Ltd and the customer into which these terms are incorporated.
19) Limitation on assignment:
19.1) The customer must not assign the benefit of this contract in whole or in part.
19.2) Paracall reserve the right to assign the benefit of this contract by giving prior written notice of any assignment to the customer.
19.3) Except with the prior written consent of Paracall , the service shall not be used by or on behalf of any person other than the customer or a third party specified on the application form.
20) Copyrights:
All copyright, database rights and other intellectual property rights in all the material on the site including but not limited to site design, structure, page layouts, graphical images, search results and underlying software code (collectively the "Content") legally and beneficially belongs to Paracall and the relevant advertisers. The advertisers own or licence the rights to their own brand. Except for advertiser's intellectual property rights, Paracall owns all rights to the rest of the Content.
The site is provided as is, without any warranty or guarantee of availability.
21) DISCLAIMERS:
ALL KINDS OF USE OF THIS WEBSITE AND ITS SERVICES BY YOU IS AT YOUR OWN RISK. PARACALL IS NOT RESPONSIBLE OR LIABLE FOR ANY FORM OF LOSS OR DAMAGE DUE TO DOWNLOADING AND/OR USING OR REFERRING TO OR RELYING ON INFORMATION, FACILITIES, SERVICES OR MATERIALS PROVIDED ON THIS WEBSITE.
